Montreal, Québec, July 19th, 2007 – Aptilon Corporation (TSX VENTURE:APZ) ("Aptilon" or the "Corporation") announced today that it has completed a public offering of Common Shares pursuant to which the Corporation issued to investors 25,000,000 Common Shares at a price of $0.40 per Common Share, for aggregate gross proceeds of $10,000,000. Aptilon expects to use the proceeds of the Offering for working capital and for general corporate purposes, including acquisitions. The Company has no present agreements or commitments with respect to any acquisitions.
Paradigm Capital Inc., as lead agent, Loewen, Ondaatje, McCutcheon Limited. and Cormark Securities Inc. acted as agents in respect of this offering of Common Shares. For their services, the agents received a commission of $650,000 and were issued 1,125,000 compensation warrants, each compensation warrant entitling the holder to acquire one Common Share at a price of $0.40 until January 19, 2009.
The agents have been granted an over-allotment option for a period of 30 days following the closing of the offering to arrange for the sale of up to an additional 3,750,000 common shares at the issue price of $0.40.
